Code of ethics Print E-mail

This code of ethics sets out requirements for good business conduct and personal conduct for all employees of Det norske and members of its governing bodies. The code also applies to hired personnel, consultants and others who act on Det norske’s behalf. The code of ethics is intended to clarify the company’s fundamental ethical values and to guide those acting on behalf of the company when making choices without the matter in question having been subject to prior consideration in the company.


Our ethical values 
There should be no difference between what we say and what we do. Management shall lead the way on ethical issues. Correct ethical conduct should always be valued highly. Unethical behavior should always be censored. The company shall encourage open discussion on ethical issues. 


General principles 
Det norske shall operate its business with integrity. We will respect laws, different cultures, human dignity and human rights.


Trust
It is crucial for Det norske to enjoy society's trust. Trust is achieved through honesty and openness. Corporate responsibility must be demonstrated in our core values, the quality of our work, our products and our activities. Compliance with laws, rules and conventions under which Det norske operates is a minimum, but the company's ethics are not simply about compliance.


Conflicts of Interest 
Employees and others who represent Det norske, shall act impartially in all business matters. We shall not give organizations, businesses or individuals unfair advantages. Employees must not become involved in matters that could damage Det norske's interests or prevent them from acting in an independent and impartial manner.

Employees must notify their superiors of any business dealings that directly or indirectly, financially or otherwise, could benefit closely related parties such as a spouse, relative, partner or friend. The employee is deemed to be disqualified from participating in the consideration of and decision-making in such cases. 

The company takes a favourable view of participation by employees on the boards and governing bodies of other businesses and organizations. It is a condition that the latter are not in competition or direct conflict with the company’s interests. Employees must inform their superiors of such offices. The CEO may, in cases of conflict, say no to employees taking on such offices.

Employees or others with close ties to Det norske who have information that can influence the market value of securities issued by Det norske, and that is not publicly available or known in the market, shall not use such inside information or contribute to others using this information.

Participation in social events must be ethically justifiable, so that it does not negatively affect the market’s trust in the company. It is especially important to show caution before, during, and in connection with negotiations for contracts or agreements.

Gifts should not be accepted if this can raise doubts about integrity. If an employee is in any doubt in such cases, the matter must be discussed with his or her immediate superior. Cash gifts shall not be accepted. Personal gifts shall not have a value over NOK 1000. Gifts with a higher value shall be handed over to the company.


Human Rights 
Det norske shall operate its business in accordance with fundamental human rights as enshrined in the UN Human Rights Declaration. The company shall follow the standards of the International Labour Organization


Corruption

Det norske shall conduct its business in an ethical manner. We do not tolerate any form of corruption.

Det norske's employees, or others who represent the company, must not offer anything of value to others in order to achieve advantages. Offers of sensitive payments shall  be rejected immediately and reported to the employee’s immediate superior. Suspected corruption or other unethical conduct shall be reported. If the supervisor does not take the matter seriously, or is involved in the case, the CEO and VP HSE shall be notified directly or through a safety representative.


Sponsorship
 
Det norske can use sponsorships to promote the company and its activities. A sponsorship contract must be based on the principle of mutual benefit.

Det norske shall not support political parties, or religious groups or organizations. Where there is a risk of a personal conflict of interest, the person concerned shall not participate in the decision-making process.
 

In cases of doubt or breaches of the rules 
Employees shall notify his/her supervisor if there is any doubt concerning compliance with our code of ethics. Anyone who reports such matters will be protected. The management is obliged to ensure that such cases are handled in an adequate manner and in accordance with our fundamental ethical norms. 

Breach of Det norske's code of ethics can lead to disciplinary action, termination of employment, and/or the case may be reported to authorities.
